Guidelines for Board Operation

The Guidelines for Board Operation and Membership outline the guidelines which operate in relation to the operation, structure and composition of the PaperlinX Board and its Committees.

Continuous Disclosure Policy

The Company has established policies and procedures designed to guide compliance with ASX Listing Rule disclosure requirements, and to ensure accountability at a senior management level for that compliance.

The Continuous Disclosure policy sets out vetting and authorisation processes designed to ensure any relevant information requiring disclosure to the market:

  • is made in a timely manner;
  • is factual;
  • does not omit material information; and
  • is expressed in a clear and objective manner.

Senior managers of the Company are aware of the need to advise the ASX of any information that may have a material effect on the price or value of PaperlinX's securities.

The Disclosure Committee comprises the Managing Director, Chief Financial Officer together with the Executive General Manager Corporate Affairs and the Company Secretary and General Counsel. There is a continuous review all information of which they become aware for the purposes of ASX Listing Rule 3.1.

Improper Conduct Reporting Policy

PaperlinX is a leading international merchanting company and the manner in which we conduct ourselves reflects on our reputation and the way we are regarded by our customers, suppliers and the wider community.

The Company has developed worldwide policies that outline the appropriate behaviour and business conduct that is expected of all PaperlinX businesses, employees and others who act for us worldwide. We want to ensure that PaperlinX continues to be a safe, fair and honest place to work.

PaperlinX has specifically developed a Prevention and Reporting Improper Conduct policy and the 'Speak Up' programme, to assist employees and other affected parties to independently and anonymously report allegations of suspected improper conduct.

The PaperlinX 'Speak Up' reporting service is a 24 hour independent reporting service that gives employees in any country the opportunity to raise concerns related to improper or unlawful conduct, outside of Company management.
